These Terms of Service ("Terms") constitute a binding agreement between you and Fusion AI ("Fusion AI," "we," "us," or "our") governing access to and use of our website at https://fusionprojects.online, our AI-assisted development platform, APIs, applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, you may not access or use the Service.

Fusion AI provides an AI-assisted software development environment, including code editing, multi-file context, chat-based assistance, workspace management, integrations (such as GitHub), and subscription-based access to AI models and compute credits.

We may modify, suspend, or discontinue features at any time. Where materially adverse changes affect paid subscriptions, we will provide reasonable notice when practicable.

You must be at least 16 years old (or the minimum age required in your jurisdiction to consent to data processing) to use the Service. If you are under 18, you must have parental or guardian consent.

You agree to provide accurate, current, and complete registration information and to keep your account credentials confidential. You are responsible for all activity under your account and must notify us promptly at fusionai@fusionprojects.online of any unauthorized access.

Your use of the Service is subject to our Acceptable Use Policy, incorporated by reference. You may not use the Service to violate law, infringe rights, distribute malware, abuse systems, or engage in harmful automated access.

We may investigate violations and suspend or terminate accounts, remove content, or report activity to authorities where appropriate.

"Customer Content" means code, files, prompts, messages, and other material you submit to or process through the Service. You retain ownership of Customer Content subject to the licenses below.

You grant Fusion AI a limited, worldwide, non-exclusive license to host, process, transmit, display, and backup Customer Content solely to provide, secure, maintain, and improve the Service and as otherwise described in our Privacy Policy.

You represent that you have all rights necessary to submit Customer Content and that its use through the Service does not violate law or third-party rights.

The Service may generate suggestions, code, text, or other outputs ("AI Outputs"). AI Outputs may be inaccurate, incomplete, insecure, or unsuitable for production. You are solely responsible for reviewing, testing, and validating AI Outputs before use.

AI Outputs are not professional advice. Fusion AI does not guarantee that AI Outputs are original, non-infringing, or free of vulnerabilities. You assume all risk from reliance on AI Outputs.

Fusion AI and its licensors own the Service, including software, branding, documentation, and underlying technology, subject to your rights in Customer Content. Except for the limited rights expressly granted, no rights are transferred to you.

You may not copy, modify, reverse engineer, decompile, or create derivative works of the Service except to the extent permitted by applicable law or with our prior written consent.

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for purposes related to the Service. Confidentiality obligations do not apply to information that is public, independently developed, or lawfully obtained without restriction.

We implement administrative, technical, and organizational measures designed to protect the Service and Customer Content, including access controls, encryption in transit, logging, vulnerability management, and incident response procedures aligned with widely recognized security frameworks.

Fusion AI is not certified under SOC 2, ISO 27001, or similar programs unless we expressly state otherwise in a signed agreement. Nothing in these Terms constitutes a guarantee of certification or compliance with your specific regulatory obligations.

Enterprise customers may request additional security documentation or a Data Processing Addendum (DPA) where applicable.

The Service integrates with third-party providers (including AI model providers, cloud infrastructure, authentication, and payment processors). Your use of third-party services may be subject to their terms. Fusion AI is not responsible for third-party services outside our reasonable control.

We may offer beta, preview, or experimental features. These are provided "as is," may change or be withdrawn without notice, and may have reduced availability or support.

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, security risk, legal requirement, or extended inactivity, with notice where reasonable.

Upon termination, your right to access the Service ceases. We may delete Customer Content after a reasonable retention period, subject to legal obligations and backup cycles. Provisions that by nature should survive will survive termination.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted, error-free, or secure operation, or that defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSION AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO FUSION AI IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

You will defend, indemnify, and hold harmless Fusion AI and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your Customer Content, use of the Service, violation of these Terms, or infringement of third-party rights.

You may not use the Service in violation of export control, sanctions, or trade laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive embargoes, and are not a prohibited party under applicable sanctions lists.

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, except where mandatory consumer protection laws in your country of residence apply.

Before filing a claim, you agree to contact us at fusionai@fusionprojects.online to attempt informal resolution. If unresolved within 30 days, disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.

Where permitted, you and Fusion AI waive any right to participate in a class or representative action.

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date and, where appropriate, notified via email or in-product notice. Continued use after changes become effective constitutes acceptance.
